This Terms and Conditions has been established by Technologica United Ltd, Reg. number:16175121, Address:71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ, (hereinafter referred to as the Company) to govern your access to and use of the website located at www.esimplify.net (the "Website") and all related services, including the sale and provision of eSIM profiles (collectively, the "Services").

Welcome to eSIMplify ("we," "us," "our"). By accessing, browsing, or using the Website or Services, you ("User," "you," "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must immediately discontinue any use of the Website and Services. These Terms constitute a legally binding agreement between you and eSIMplify.

For the purposes of these Terms:

3.1. To access certain Services, you may be required to register for an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify eSIMplify immediately of any unauthorized use of your Account or any other breach of security. eSIMplify will not be liable for any loss or damage arising from your failure to comply with this obligation.

3.3. You must be at least 18 years of age, or the age of majority in your jurisdiction, to create an Account and use the Services.

4.1. You agree to use the Website and Services only for lawful purposes and in accordance with these Terms. You are responsible for complying with all local, state, national, and international laws and regulations applicable to your use.

5.1. You are solely responsible for ensuring your device (a) is unlocked, (b) is compatible with eSIM technology, and (c) supports the network frequencies in the destination country/countries. Compatibility information is provided on the Website for guidance only. eSIMplify does not guarantee that the eSIM will work with your specific device or in all locations within a country.

5.2. By completing a purchase, you make an offer to buy an eSIM, which we accept upon successful payment. The eSIM profile is a digital product, which is delivered in form of a QR code.QR codes are generated within 10 minutes of purchase and are delivered via email and/or your Account dashboard. Delivery times are estimates and not guaranteed.

5.3. Detailed activation instructions, including a QR code, will be provided upon delivery. You are responsible for correctly activating the eSIM and configuring your device settings. Each eSIM has a specified validity period (days/data allowance), which begins upon first connection to a supported network or at a time specified in the product description. Unused data and days expire at the end of the validity period and are non-refundable.

5.4. Our Services are intended for reasonable personal, non-commercial use (e.g., browsing, messaging, email). We prohibit activities that disproportionately consume network resources, including but not limited to: continuous video streaming in high definition, operating servers, peer-to-peer file sharing, or automated data feeds. We reserve the right to throttle or suspend service for users violating this policy.

6.1. All prices are listed in the currency indicated and are subject to change without notice. You are responsible for any taxes (VAT, sales tax, etc.) applicable to your purchase based on your location.

6.2. You authorize us to charge your chosen payment method for all fees incurred. You represent and warrant that you have the legal right to use any payment method you provide.

6.3. Due to the immediate, digital, and non-returnable nature of eSIM profiles, refunds will only be considered, at our sole discretion, in the event of a proven technical failure on our part that renders the eSIM completely unusable, and where the issue cannot be resolved through our support. Refund requests must be submitted via email to help@simplify.net within 14 days of purchase, accompanied by a detailed explanation and proof of the issue.

Your privacy is important to us. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices.

8.1. The Website, Services, and all Content (excluding User Content) are and remain the exclusive property of eSIMplify or its licensors. All trademarks, service marks, and logos are owned by us or our partners.

The Website and Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, eSIMplify explicitly disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, secure, error-free, or free from harmful components.

To the maximum extent permitted by applicable law, eSIMplify, its directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use, or alteration of your transmissions or content.

Our total aggregate liability arising out of or relating to these terms shall not exceed the amount you paid to eSIMplify in the six months preceding the event giving rise to the liability, or one hundred US dollars (USD $100), whichever is greater.

You agree to defend, indemnify, and hold harmless eSIMplify from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with (a) your access to or use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party right, including intellectual property or privacy rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on the Website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. We may also modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice.

We may suspend or terminate your access to the Website and Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. 15.1. These Terms, together with the Privacy Policy, and the Refunds Policy, constitute the entire agreement between you and eSIMplify regarding the Services.

15.2. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4. We shall not be liable for any failure to perform our obligations due to events beyond our reasonable control.

15.5. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
